    As leadership terms came to an end, the absence of a formal succession plan left Ugbajo at a crossroads. A meeting convened on September 5, 2020, sought to address this uncertainty by proposing the formation of an Interim Caretaker Committee (ICC) to manage the organization until elections could be held.
    However, while the proposal may have had verbal support, no formal roll call vote was conducted to validate the decisions made. This procedural oversight created ambiguity and left the meeting’s outcomes open to challenge.
     
    3. Governance Ambiguity
    The Ugbajo constitution—while serving as a guiding document—did not clearly define the organization’s governance model. Was Ugbajo member-managed, with decisions driven by individual members, or manager-managed, with regional leaders serving as representatives?


This lack of clarity became a key factor during the trial and highlighted the importance of eliminating ambiguity in our foundational processes moving forward.
What the Trial Has Taught Us


The trial highlighted not personal failures but systemic issues within our organization’s structure. The court’s reliance on D.C. Code § 29-406.05(d)—which allows directors to continue serving until successors are properly elected—was a reminder of how crucial clear processes are in governance.


The absence of formalized procedures, documented votes, and clear succession plans left our organization vulnerable to conflict. These are lessons we must take seriously as we look to rebuild.

We need to eliminate any ambiguity in Ugbajo’s constitution about how decisions are made and authority is exercised.
2. Documenting Decisions:
Major decisions—whether leadership transitions, financial approvals, or constitutional amendments—must require formal, documented roll call votes.

The pandemic exposed the need for clear provisions in our constitution that allow governance to continue during crises. Virtual meetings, online elections, and emergency decision-making frameworks must become part of our processes.
4. Succession Planning:


Leadership transitions should never be left to chance. A clearly defined succession process will ensure continuity and stability.
